Welcome to Aurova. These Terms of Service ("Terms") constitute a legally binding agreement between you and Aurova, Inc., a Delaware corporation ("Aurova," "we," "us," or "our") governing your access to and use of the Aurova website, applications, and services (collectively, the "Platform").
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. SECTION 10 CONTAINS A MANDATORY ARBITRATION CLAUSE THAT REQUIRES YOU TO RESOLVE DISPUTES WITH AUROVA ON AN INDIVIDUAL BASIS.
1. Introduction
By accessing or using the Aurova Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users of the Platform, including Hosts and Guests (as defined below).
Aurova provides an online platform that connects vehicle owners ("Hosts") with individuals seeking to rent those vehicles ("Guests" or "Renters"). Aurova is not a rental car company and does not own or operate any vehicles. We provide the Platform to facilitate these transactions but are not a party to any rental agreement between Hosts and Guests.
2. Eligibility, Registration, and Verification
a. Age and License Requirements
You must be at least 21 years old to create an account and use the Platform. All users must possess a valid driver's license issued by the United States, Canada, or other approved jurisdiction. Your license must be in good standing without any major violations or suspensions.
b. Account Registration
You must register for an account to access Platform features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.
c. Identity Verification
Aurova may require identity verification including, but not limited to, government-issued photo identification, driver's license verification, background checks, and other authentication methods. You consent to such verification processes and authorize third-party verification services to access relevant information.
d. Background Checks
Aurova reserves the right to conduct background checks, including criminal history and driving record checks, at any time. Users who fail to pass these checks may be suspended or permanently banned from the Platform.
3. Fees and Taxes
a. Aurova's Fee Structure
Aurova charges Hosts a flat daily service fee for each day a vehicle is rented through the Platform. The specific fee amount is disclosed during the listing process and may vary based on vehicle type, location, and other factors. Hosts retain 100% of their base earnings after Aurova's service fee.
b. Payment Processing
All payments are processed through our secure third-party payment processors. You authorize us to charge your selected payment method for all sums due. Payment processing fees may apply.
c. Tax Responsibilities
You are responsible for determining and paying any applicable taxes on income earned through the Platform. Aurova may provide tax reporting forms as required by law, but you should consult with a tax professional regarding your specific obligations.
d. Currency and International Transactions
All transactions are processed in U.S. dollars unless otherwise specified. International users may be subject to additional fees and currency conversion charges.
4. Your Commitments
By using the Platform, you commit to:
- Complying with all applicable laws, regulations, and ordinances
- Providing accurate and truthful information at all times
- Treating other users with respect and courtesy
- Using the Platform only for its intended purpose
- Maintaining the confidentiality of your account credentials
- Promptly notifying Aurova of any security breaches or unauthorized use
- Cooperating with Aurova's investigation of any violations or disputes
- Not interfering with or disrupting the Platform's operation
- Not attempting to circumvent any Platform security measures
- Not using the Platform if you have been previously banned
5. Content
a. User-Generated Content
You may post, upload, or submit content including photos, descriptions, reviews, and messages ("User Content"). You retain ownership of your User Content but grant Aurova a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with the Platform.
b. Content Standards
All User Content must be accurate, appropriate, and comply with these Terms. You may not post content that is illegal, harmful, threatening, abusive, defamatory, obscene, or infringes on third-party rights.
c. Vehicle Photos and Descriptions
Hosts must provide accurate photos and descriptions of their vehicles. Photos must be current, clearly show the vehicle's condition, and not be misleading. Aurova reserves the right to remove or modify any content that violates these standards.
d. Reviews and Ratings
Users may leave reviews and ratings based on their experiences. Reviews must be honest, factual, and based on actual experiences. Fake reviews or review manipulation is strictly prohibited.
6. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Violating any applicable local, state, national, or international law
- Using the Platform to find a Host or Guest and then completing the transaction offline to circumvent fees
- Listing or renting any vehicle that you do not have the legal right to make available
- Engaging in any fraudulent, deceptive, or harmful activity
- Using any automated system, robots, or spiders to access the Platform
- Discriminating against users based on protected characteristics
- Harassing, threatening, or intimidating other users
- Using the Platform for commercial purposes other than intended car sharing
- Subletting or transferring your rental to unauthorized third parties
- Using vehicles for illegal activities including drug transportation
- Racing, stunt driving, or off-road driving unless specifically permitted
- Smoking, vaping, or consuming alcohol or drugs in vehicles
- Transporting hazardous materials or oversized items
- Exceeding posted speed limits or violating traffic laws
- Creating multiple accounts to circumvent restrictions
- Interfering with other users' bookings or reviews
- Reverse engineering or attempting to extract source code from the Platform
7. Other Legal Matters
a. Insurance Coverage
Aurova provides or facilitates third-party liability insurance that covers both Hosts and Guests during the rental period, subject to the terms, conditions, and exclusions of the insurance policy. The coverage provided is secondary to any other applicable insurance you may have.
b. Liability and Damages
Users are responsible for damages to vehicles during their use. Aurova may facilitate damage claims but is not liable for the resolution of such disputes. Both parties agree to cooperate in damage assessments and resolution processes.
c. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUROVA'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO AUROVA IN THE TWELVE MONTHS PRECEDING THE CLAIM.
d. Indemnification
You agree to indemnify and hold Aurova harmless from claims arising from your use of the Platform, violation of these Terms, or violation of any rights of another party.
8. Specific Terms for Guests (Renters)
a. Booking Process
Guests may search and book available vehicles through the Platform. All bookings are subject to Host approval unless instant booking is enabled. Guests agree to provide accurate trip information and intended use details.
b. Vehicle Pickup and Return
Guests must pick up and return vehicles at agreed-upon times and locations. Late returns may result in additional fees. Guests must inspect vehicles before and after use and report any issues immediately.
c. Guest Responsibilities
Guests are responsible for:
- Operating vehicles safely and legally
- Returning vehicles in the same condition received
- Paying all tolls, tickets, and fines incurred during rental
- Refueling vehicles to the same level as received
- Not allowing unauthorized drivers to operate the vehicle
- Securing vehicles when not in use
- Reporting accidents or damage immediately
d. Additional Drivers
Additional drivers must be approved by the Host and meet all eligibility requirements. All drivers must be listed on the booking and properly verified.
9. Specific Terms for Hosts
a. Vehicle Requirements
Hosts may only list vehicles they legally own or have explicit permission to rent. Vehicles must be:
- Properly registered and insured
- In safe, roadworthy condition
- Clean and well-maintained
- No more than 12 years old (unless approved)
- Free from recalls or safety defects
b. Availability and Pricing
Hosts control their vehicle availability and pricing. Hosts must keep calendars updated and honor confirmed bookings. Pricing must be transparent with no hidden fees beyond those disclosed on the Platform.
c. Host Responsibilities
Hosts are responsible for:
- Providing accurate vehicle descriptions and photos
- Ensuring vehicles meet all safety standards
- Being available for Guest communication
- Facilitating smooth pickup and return processes
- Maintaining appropriate insurance coverage
- Complying with local regulations and permits
d. Earnings and Payouts
Hosts earn the full rental price minus Aurova's flat service fee. Payouts are processed according to the payment schedule disclosed at the time of booking completion.
10. Dispute Resolution and Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
a. Mandatory Arbitration
You and Aurova agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be settled by binding arbitration, except that each party retains the right to seek injunctive relief in court.
b. Arbitration Rules
The arbitration will be administered by the American Arbitration Association ("AAA") under the Consumer Arbitration Rules. The arbitration will be conducted in Los Angeles County, California, or another location mutually agreed upon.
c. Class Action Waiver
YOU AND AUROVA AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
d. Exceptions
This arbitration agreement does not apply to disputes that may be resolved in small claims court or disputes relating to intellectual property rights.
11. General Provisions
a. Governing Law
These Terms are governed by the laws of the State of California and the United States of America, without regard to conflict of law principles.
b. Modifications
Aurova reserves the right to modify these Terms at any time. We will provide notice of material changes through the Platform or by email. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
c. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
d. Entire Agreement
These Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and Aurova regarding use of the Platform.
12. Cancellation Policy
a. Guest Cancellations
Guests may cancel bookings subject to the cancellation policy selected by the Host. Cancellation policies range from flexible to strict, with corresponding refund amounts. Cancellation fees may apply based on timing and policy terms.
b. Host Cancellations
Hosts may cancel bookings only in extraordinary circumstances. Frequent cancellations may result in account restrictions or penalties. Hosts who cancel may be required to pay Guest cancellation fees and rebooking costs.
c. Aurova Cancellations
Aurova may cancel bookings if we determine they violate these Terms, pose safety risks, or for other legitimate business reasons. Appropriate refunds will be provided in such circumstances.
13. Privacy Policy
Our collection, use, and protection of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in our Privacy Policy.
15. Nondiscrimination Policy
Aurova is committed to providing an inclusive platform free from discrimination. Users may not discriminate against others based on:
- Race, color, ethnicity, or national origin
- Religion or religious affiliation
- Sex, gender, or gender identity
- Sexual orientation
- Age (except where legally required)
- Disability or medical condition
- Marital or family status
- Source of income
- Military or veteran status
Hosts may decline bookings only for legitimate, non-discriminatory reasons such as vehicle availability, Guest qualifications, or safety concerns. Any user found to be discriminating may face immediate account suspension or termination.
16. Additional Policies
Aurova may establish additional policies from time to time to govern specific aspects of the Platform. These policies will be posted on our website and incorporated into these Terms by reference. Current additional policies may include:
